Terms of Service

These Terms of Service (“Terms”) govern your use of the pixelpioneer.org website and any services provided by PixelPioneer, LLC (“PixelPioneer,” “we,” “us,” or “our”), a Delaware limited liability company. By accessing our website or engaging our services, you agree to these Terms.

1. Services

PixelPioneer provides digital strategy, web development, brand design, and marketing automation services. The specific scope, deliverables, timeline, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement signed by both parties.

Nothing on this website constitutes a binding offer or guarantee of specific results. Project outcomes depend on many factors including client cooperation, market conditions, and project scope.

2. Website Use

You agree to use our website only for lawful purposes and in compliance with these Terms. You may not:

  • Use the website in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or networks
  • Introduce malicious software or interfere with the website's operation
  • Scrape, copy, or reproduce website content without written permission

3. Intellectual Property

All content on this website — including text, graphics, logos, images, and software — is the property of PixelPioneer, LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

For client projects, intellectual property ownership and licensing terms are defined in the applicable service agreement or SOW. Generally, clients receive full ownership of deliverables upon final payment.

4. Client Responsibilities

When engaging our services, clients are responsible for:

  • Providing accurate and complete project requirements and materials
  • Timely review and feedback on deliverables as outlined in the SOW
  • Ensuring they have the rights to any content or materials provided to us
  • Payment of invoices according to agreed-upon terms

5. Payment Terms

Payment terms are specified in each project's SOW or service agreement. Unless otherwise agreed:

  • A deposit is required before work begins (typically 30–50% of the project total)
  • Remaining payments are due upon completion of agreed milestones
  • Invoices are payable within 14 days of issuance
  • Late payments may incur a fee of 1.5% per month on outstanding balances

6. Refund & Cancellation Policy

We want every client to be satisfied with our work. Our refund and cancellation terms are as follows:

  • Before work begins: If you cancel before any work has commenced, your deposit will be refunded in full, minus any administrative costs incurred.
  • During the project: If you cancel after work has begun, you will be invoiced for all work completed to date based on the agreed hourly or milestone rate. Any unused portion of prepaid fees will be refunded within 30 business days.
  • Completed deliverables: Fees for approved and delivered work are non-refundable. If you are dissatisfied with a deliverable, we will work with you to revise it within the scope defined in your SOW.
  • Refund method: Refunds are issued via the original payment method within 30 business days of the cancellation request.

7. Limitation of Liability

To the maximum extent permitted by law, PixelPioneer shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services, regardless of the cause of action.

Our total liability for any claim arising from a service engagement shall not exceed the total fees paid by you for that specific engagement.

8. Warranties & Disclaimers

Our website and its content are provided “as is” without warranties of any kind, either express or implied. We do not guarantee that the website will be uninterrupted, error-free, or free of viruses.

For service engagements, warranties and guarantees are defined in the applicable SOW or service agreement.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during a service engagement. This obligation survives termination of any agreement and remains in effect for two years following disclosure, unless the information becomes publicly available through no fault of the receiving party.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in Kent County, Delaware.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
